The Questions Behind the Deal
Who owns what is created?
If the creator contributes names, designs, slogans, images, content, or other IP, the agreement should be clear about what is licensed and what, if anything, is newly owned by the partner.
How is the creator paid?
Flat fees, royalties, advances, minimum guarantees, and revenue shares create different incentives and risks.
What counts toward the royalty?
Gross revenue, net revenue, deductions, returns, discounts, affiliate commissions, manufacturing costs, and channel fees can materially change the economics.
How much control does the creator retain?
A creator’s name and reputation may sit directly on the product. Approval rights and quality control can matter as much as the financial terms.
What happens when the relationship ends?
